Facebook Inc. chief operating officer Sheryl Sandberg and Twitter Inc.'s chief executive officer Jack Dorsey will step down from their posts on the Walt Disney Co.'s board.

Disney is moving heavily into online delivery of its TV shows and movies as viewers abandon traditional cable, and at one point had explored an acquisition of Twitter.

With Disney planning to put ESPN online, Twitter live-streaming sports like NFL football, and Facebook prioritizing live video, online video is a likely area of overlap.

"Given our evolving business and the businesses Ms. Sandberg and Mr. Dorsey are in, it has become increasingly hard for them to avoid conflicts relating to Board matters, and they are not standing for re-election", a company spokesman wrote in an email. "Mr. Matschullat and Mr. Smith will be departing pursuant to Company policies that limit Board service to 15 years and set the retirement age at 74, respectively", the spokesman wrote. They include General Motors CEO Mary Barra, Nike CEO Mark Parker and Oracle CEO Safra Catz, whose election in December to the board takes effect on February 1.
